Provider Service Agreement

Last updated: September 30, 2026

This Provider Service Agreement ("Agreement") is entered into between Interstate Mobile Repair LLC ("Company," "we," "us," or "our") and the individual or business entity registering as a service provider ("Provider," "you," or "your") on the Interstate Mobile Repair platform located at interstatemobilerepair.com ("Platform"). By completing the provider application and activating your provider account, you agree to be bound by this Agreement.

1. Provider Eligibility

To register and remain active as a Provider on the Platform, you must at all times:

  • Be at least 18 years of age and legally authorized to work in the United States.
  • Hold a valid commercial driver's license (CDL) or applicable mechanic certification where required by state law.
  • Maintain a valid and current business license in every state or jurisdiction where you perform services.
  • Carry and maintain active commercial general liability insurance with a minimum coverage of $1,000,000 per occurrence and name Interstate Mobile Repair LLC as an additional insured upon request.
  • Carry garage keepers liability or on-hook towing insurance if you tow or transport customer vehicles.
  • Comply with all applicable federal, state, and local laws, including DOT regulations where applicable.

2. Independent Contractor Status

You are an independent contractor and not an employee, agent, partner, or joint venturer of Interstate Mobile Repair. You are solely responsible for all taxes, withholdings, insurance, and other obligations arising from your work. Nothing in this Agreement creates an employment relationship. You retain full discretion over how, when, and where you perform services, subject to the service standards described herein.

3. Platform Fee & Payment Split

Interstate Mobile Repair charges a 10% platform fee on every completed job processed through the Platform. The remaining 90% of the collected service amount is transferred to your connected Stripe account automatically upon payment confirmation, typically within 2–7 business days depending on your Stripe payout schedule.

  • All payments are processed exclusively through Stripe Connect. You must complete Stripe's identity verification and onboarding to receive payouts.
  • The platform fee covers dispatch matching, payment processing, customer support infrastructure, and platform maintenance.
  • Interstate Mobile Repair reserves the right to adjust the platform fee with 30 days' written notice to active Providers.
  • Deposits collected from customers prior to job start are held by Stripe and released upon job completion or as otherwise agreed.

4. Service Standards

As a Provider, you agree to:

  • Respond to dispatched job requests within the timeframe specified in the Platform (default: 15 minutes).
  • Arrive at the job site within the estimated time communicated to the customer.
  • Provide accurate, honest, and itemized estimates before beginning any repair work.
  • Obtain customer approval before performing any work beyond the original scope of the estimate.
  • Use parts and materials that meet or exceed OEM specifications unless the customer explicitly requests otherwise in writing.
  • Maintain a professional demeanor and comply with all safety regulations at the job site.
  • Complete all required job status updates in the Platform (En Route, Arrived, Estimate Sent, Completed).

5. Liability & Indemnification

You are solely responsible for the quality, safety, and legality of all services you perform. Interstate Mobile Repair does not warrant or guarantee the quality of any Provider's work and is not liable for any damage, injury, loss, or claim arising from services you perform. You agree to indemnify, defend, and hold harmless Interstate Mobile Repair LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your performance of services; (b) your breach of this Agreement; (c) your violation of any applicable law or regulation; or (d) any negligent or wrongful act or omission by you or your employees or subcontractors.

6. Dispute Resolution

In the event of a dispute between a Provider and a customer, Interstate Mobile Repair may, at its sole discretion, mediate the dispute. The Company's decision regarding any dispute involving platform fees, refunds, or account standing is final. Any dispute between a Provider and Interstate Mobile Repair arising under this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in the State of Florida. Each party waives the right to a jury trial and to participate in any class action proceeding.

7. Prohibited Conduct

Providers are strictly prohibited from:

  • Soliciting customers to pay outside the Platform to circumvent platform fees.
  • Misrepresenting qualifications, certifications, or insurance coverage.
  • Performing work under the influence of alcohol or controlled substances.
  • Sharing customer personal information with third parties without consent.
  • Submitting fraudulent invoices, inflated estimates, or false job completion reports.
  • Harassing, threatening, or discriminating against customers or Platform staff.

8. Termination

Either party may terminate this Agreement at any time with 7 days' written notice. Interstate Mobile Repair reserves the right to suspend or terminate a Provider account immediately and without notice for: (a) violation of this Agreement; (b) fraudulent activity; (c) repeated poor customer ratings (below 3.0 average); (d) lapse of required insurance or licensure; or (e) any conduct that poses a risk to customers, the Company, or the public. Upon termination, any pending payouts for completed and verified jobs will be processed on the normal payout schedule. Payouts for disputed or unverified jobs may be withheld pending resolution.

9. Confidentiality

You agree to keep confidential all non-public information about Interstate Mobile Repair's business, technology, pricing, and customers that you access through the Platform. This obligation survives termination of this Agreement.

10. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to its conflict of law provisions.
